Terms of Service — Dealer Agreement

1. Eligibility Access to the Sonobrands LLC dealer portal is limited to approved wholesale dealers. To qualify for a dealer account, applicants must operate a brick-and-mortar retail location and provide a valid resale certificate at the time of application. Applications that do not meet these requirements will not be approved.

2. Account Credentials You are responsible for maintaining the confidentiality of your account login credentials. Any activity that occurs under your account is your responsibility. Please notify us immediately at sales@carandproaudio.comif you suspect unauthorized use of your account.

3. Payment Terms Payment terms are determined on a per-account basis following review of your credit application. Net terms, where applicable, will be outlined in your account approval. All invoices must be paid by the agreed due date. Sonobrands LLC reserves the right to modify payment terms at any time based on payment history.

4. Minimum Advertised Price (MAP) Policy All authorized dealers must comply with the Minimum Advertised Price (MAP) policy established by Sonobrands LLC and its brand partners. Advertising or selling products below MAP on any platform — including but not limited to your own website, social media, or any online marketplace — is a violation of this agreement and may result in immediate account suspension.

5. Marketplace Restrictions Dealers are strictly prohibited from listing or selling any Sonobrands LLC products on third-party online marketplaces including but not limited to Amazon, eBay, Walmart Marketplace, or any similar platform. Sales must occur exclusively through your approved brick-and-mortar location and your own direct website in compliance with MAP pricing.

6. Account Suspension & Termination Sonobrands LLC reserves the right to suspend or terminate a dealer account for any of the following reasons:

  • Failure to make payment by the agreed due date
  • Misrepresentation of business type, location, or credentials during the application process
  • Selling on third-party online marketplaces
  • Advertising or selling below MAP pricing
  • Any activity determined to be detrimental to the Sonobrands LLC brand or its partners

Upon suspension or termination, all outstanding balances become immediately due and payable.

7. Limitation of Liability Sonobrands LLC shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of this portal or the purchase of products. Our total liability shall not exceed the value of the order in question.

8. Changes to Terms Sonobrands LLC reserves the right to update these Terms of Service at any time. Continued use of the dealer portal following any changes constitutes acceptance of the updated terms. We will make reasonable efforts to notify active dealers of significant changes.

9. Governing Law These Terms of Service shall be governed by the laws of the State of Georgia.
